1. Agreement to Terms

By accessing or using ListMyStartup.app ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and ListMyStartup.app. We may update these Terms from time to time, and your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

2. Description of Service

ListMyStartup.app is a platform that allows users to:

• Discover and explore startups and digital products
• Submit and showcase their own startups or products
• Vote on and comment on listed products
• Create profiles and build a community presence
• Browse products by categories and tags

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

3. User Accounts

3.1 Registration

To use certain features of the Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Be at least 16 years of age (or the age of majority in your jurisdiction)

3.2 Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Misrepresentation or false information
• Any other reason we deem necessary to protect the Platform and its users

You may delete your account at any time through your account settings or by contacting us.

4. User Content and Submissions

4.1 Ownership

You retain ownership of all content you submit to the Platform, including startup listings, descriptions, images, comments, and profile information ("User Content").

4.2 License Grant

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to:

• Use, display, reproduce, and distribute your User Content on the Platform
• Modify, adapt, and create derivative works for platform functionality
• Promote and market the Platform using your User Content

This license continues even after you delete your account or remove content, to the extent necessary for the Platform to function and for legal compliance.

4.3 Prohibited Content

You agree not to submit any User Content that:

• Violates any law, regulation, or third-party rights
• Is defamatory, harassing, abusive, or discriminatory
• Contains malware, viruses, or harmful code
• Infringes intellectual property rights
• Is spam, fraudulent, or misleading
• Contains adult content, violence, or hate speech
• Impersonates another person or entity

4.4 Content Moderation

We reserve the right to review, edit, remove, or refuse to publish any User Content at our sole discretion, without prior notice. We are not obligated to monitor User Content but may do so to ensure compliance with these Terms.

5. Intellectual Property

5.1 Platform Ownership

The Platform, including its design, features, functionality, logos, trademarks, and software, is owned by ListMyStartup.app and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

5.2 Third-Party Content

The Platform may display content from third parties, including imported products from external sources. We respect intellectual property rights and will remove content upon valid request.

7. Voting and Community Features

7.1 Voting Rules

Users may vote on products listed on the Platform. You agree to:

• Vote only once per product
• Not engage in vote manipulation, fraud, or automated voting
• Not create multiple accounts to vote
• Vote based on genuine interest and merit

7.2 Anti-Manipulation

We strictly prohibit any attempt to manipulate votes, rankings, or metrics through:

• Automated scripts or bots
• Paid voting services
• Coordinated group voting schemes
• Any other fraudulent activity

Violations may result in immediate account termination and removal of affected content.

8. Prohibited Uses

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other users
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Platform
• Interfere with or disrupt the Platform's operation

• Scrape, crawl, or collect data from the Platform without authorization
• Impersonate any person or entity
• Engage in any fraudulent or deceptive practices

9. Disclaimers

9.1 Service Availability

The Platform is provided "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We reserve the right to modify, suspend, or discontinue the Platform at any time.

9.2 Content Accuracy

We do not verify, endorse, or guarantee the accuracy, completeness, or quality of any User Content or third-party content displayed on the Platform. You use the Platform and its content at your own risk.

9.3 Third-Party Links

The Platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of service of such third parties.

10. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us (if any) in the 12 months preceding the claim
• We are not responsible for any loss or damage resulting from your use of the Platform
• We are not liable for any content posted by users or third parties

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless ListMyStartup.app, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• At our sole discretion

Upon termination, your right to use the Platform will cease immediately. We may delete your account and User Content, though some information may be retained as required by law or for legitimate business purposes.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the European Union.

If you are a consumer in the EU, you also benefit from any mandatory provisions of the law of your country of residence.

14. Dispute Resolution

If you have a dispute with us, we encourage you to contact us first at contact@listmystartup.app to attempt to resolve the matter informally.

For EU consumers, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

If informal resolution is not possible, disputes shall be resolved through binding arbitration or in the courts as specified in the Governing Law section above.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification to registered users (for significant changes)

Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and may delete your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ListMyStartup.app regarding your use of the Platform and supersede all prior agreements and understandings.
